How to Meet New York LLC Publication Requirements

Starting a business can take many steps, and sometimes you have to notify the community about your new venture before you can get down to business.

If you’re starting a limited liability company in the state of New York, there’s an extra step you’ll need to take once you’ve filed your Articles of Organization. You will need to publish information about your business in two newspapers. This is known as the “New York LLC Publication Requirement” and it’s a necessary part of starting a business in the state. You’ll need to complete this process if you’re creating a domestic or foreign LLC in NY, and you’ll have to do so within 120 days of starting your LLC.

A publication notice contains basic LLC information that you make available to the public through New York newspapers. Individuals who know the name of your LLC can also search for your LLC’s basic information on the apps.dos.ny.gov Although an online search of your LLC is simpler, it is not a substitute for the newspaper publication requirement.

What New York entities have publication requirements?

Currently, only LLCs and limited partnerships in New York need to publish notice of their formation in New York newspapers. Forming a New York LLC is simpler than forming a New York corporation. But fulfilling the New York LLC publication requirement is a bit more labor-intensive.

Start an LLC in the state of New York

The New York Department of State will provide you with a filing receipt.

Contact the County Clerk in the same county where your LLC has its principal office.

The County Clerk will advise you of two newspapers where you will need to file a notice that you’ve formed an LLC.

You’ll need to publish once a week for six successive weeks.

Once you’ve completed publication, the newspaper will send you an “Affidavit of Publication.”

Finally, you should file a “Certificate of Publication” with the New York Department of State.

Typically, the notice published by the newspapers will need to include:

  • The name of your LLC.
  • The date the LLC was formed (you can get this from your Articles of Organization).
  • The county where your main office is located.
  • The street address of your LLC.
  • A statement that the Secretary of State has been designated as an agent of the LLC upon whom process against it may be served.
  • The address where the NY Secretary of State may forward any process against the LLC.
  • The name and address of your Registered Agent.
  • A statement that the Registered Agent is to be the agent of the LLC upon service of process against it may be served.
  • The purpose of “the purpose of the LLC is to engage in any lawful act or activity.”
  • The date the LLC will dissolve. If you plan to run your LLC indefinitely, you can use the word “perpetual” here.

All LLCs in New York need to publish an article of organization or a notice in two local newspapers, a daily and a weekly, in the county where the LLC was formed.
This is in compliance with Section 206 of the New York State Limited Liability Company Law.

You will need to file for a Certificate of Publication with the Department of State. Publication filing fee costs are $50. Along with the filing fee and the Certificate of Publication, you will also need to submit the affidavits of publication from the two newspapers.

According to the NY Department of State website, LLC companies that do not comply with the publication requirement “will have their authority to carry on, conduct or transact any business suspended.” This means you will not be able to obtain any licenses or permits from the state until you meet the requirement.

Publication should be done within 120 days after the issuance of the articles of organization.

Although businesses are encouraged to work with legal experts as they form their LLCs, a lawyer is not a requirement to meet publication requirements. You or a trusted professional can handle the task without a lawyer’s assistance.
