A registered agent is a person who is:

  • of legal age
  • willing and able to represent a business entity in state and legal processes
  • willing and able to receive lawsuits, tax forms, and other documents on behalf of a business
  • a resident in the state where the business was formed

Corporations, LLCs and other business entity types need a registered agent when registering in New York.

While it’s possible for New York-based business owners to act as their own registered agent (or to delegate the responsibility to someone in the company), it’s always a better idea to hire the experts. With our help, you can devote more of your time and energy to your business

Basically, New York registered agents need to:

  • have a street address in New York (not a PO Box)
  • receive on behalf of and forward letters and documents to business owners
  • operate during regular business hours

In addition, our registered agents help you file and process important documents. Plus we help you maintain your privacy.

There are numerous downsides to not having a registered agent in your corner.

On top of running your business, you’ll also need to stay on top of state requirements, lawsuit notices, and other important business compliance matters.

Missing deadlines, for example, can lead to fines and penalties. Meanwhile, failure to respond to a lawsuit can mean forfeiting the opportunity to defend yourself in court. In both cases, you risk compromising the good standing of your business.

Our registered agent services will help you avoid these potential pitfalls and make your life much easier. We’ll take care of everything, leaving you free to focus on building your business.

Yes. To do this, you must either:

  • File a Certificate of Change form with the NY Department of State, or…
  • Hire our services and we’ll handle the task for you without any additional charge

The New York Department of State requires domestic and foreign corporations and LLCs to file a Biennial Statement during the business’ anniversary month every two years.

Our registered agent will remind you to make sure you don’t miss the deadline. Plus we’ll provide you the form and guide you in filing it.

The state Division of Corporations will not accept your business filing unless you have a registered agent.

Although the New York Secretary of State can function as your registered agent by default, there are several advantages of hiring your own registered agent.

We’ll work side by side with you when you sign up for our professional services. We’ll make sure that all your filings are completed without any delay.

All registered businesses in New York are required to have a registered agent. This allows the state’s Division of Corporations and the general public to easily find your contact information.

Moreover, New York LLCs need to comply with a publication requirement. According to the state website, this means that within 120 days of organization, an LLC “must publish in two newspapers a copy of the articles of organization or a notice related to the formation.”

This can be a costly process but we can help with this, too. We’ll ensure that you save money on the cost of publication.

Yes. The New York Department of State requires anyone resigning as a registered agent to complete and file a Certificate of Resignation of Registered Agent. The person also has to pay a $20 statutory fee.
