These Terms of Service (“Terms”) govern your use of the Company Formation services (the “Services”) provided by Soho Workspace Inc., Soho Workspaces 2 Inc., Farm 2 LLC, Farm 3 LLC, and Virtual Mail Hub LLC (collectively referred to as “The Farm,” “we,” “us,” or “our”). By purchasing or using the Services, you acknowledge that you have read, understood, and agree to be bound by these Terms.
1. Nature of Services
The Company is not a law firm and does not provide legal, tax, or financial advice. No attorney-client relationship is created through the use of the Services. You acknowledge that you are representing yourself in this matter.
The Services are limited to administrative support, including document preparation and filing assistance based on the information you provide. The Company does not provide legal opinions, recommendations, or advice regarding your rights, obligations, or business structure.
2. Scope of Services
The Company provides assistance in preparing and submitting formation documents for business entities, including but not limited to limited liability companies and corporations.
The Company does not guarantee acceptance, approval, or processing timelines for any filing submitted to a government authority. All filings are subject to review and approval by the applicable governmental agency, which operates independently of the Company.
3. Client Responsibilities
You agree that all information provided to the Company is accurate, complete, and current. You are solely responsible for reviewing all documents prior to submission or filing and for ensuring that such documents meet your specific needs.
The Company shall not be liable for any errors, omissions, or inaccuracies in documents resulting from information provided by you.
4. Authority to Act
By engaging the Services, you authorize the Company to prepare, complete, and submit documents on your behalf to the appropriate government agencies. This authorization may include listing the Company, or its designated representative, as organizer, incorporator, or authorized filer where required.
You further authorize the Company to affix your electronic or digital signature where necessary to complete filings.
5. Third-Party Services
You acknowledge that government agencies and any third-party service providers are independent entities not controlled by the Company. The Company is not responsible for the actions, decisions, delays, or requirements of such third parties.
Any additional terms imposed by third-party providers or agencies are your responsibility to review and accept.
6. Fees, Payments, and Refunds
All fees for Services are due at the time of purchase unless otherwise agreed. Once processing of your order has commenced, fees are non-refundable except as required by applicable law.
If you fail to provide required information within a reasonable timeframe, your order may be considered abandoned. In such cases, the Company reserves the right to cancel the order without refund.
The Company reserves the right to suspend or terminate Services for non-payment or failed payment attempts.
7. Compliance and Acceptable Use
You agree not to use the Services for any unlawful, fraudulent, or misleading purpose. The Company reserves the right to refuse, suspend, or terminate Services at its sole discretion if it detects suspicious activity, potential fraud, or regulatory risk.
The Company may require additional verification or documentation to comply with internal compliance policies or applicable regulations.
8. Limitation of Liability
To the fullest extent permitted by law, the Company shall not be liable for any direct, indirect, incidental, consequential, special, or punitive damages arising out of or related to the use of the Services.
The Company shall not be liable for any rejection, delay, denial, or failure of any filing by a government authority.
In all cases, the Company’s total liability shall be limited to the amount paid by you for the Services.
9. Indemnification
You agree to indemnify, defend, and hold harmless the Company, its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, or expenses arising out of or related to your use of the Services, your violation of these Terms, or your submission of false, inaccurate, or misleading information.
10. Dispute Resolution and Arbitration
Any dispute arising out of or relating to these Terms or the Services shall be resolved through binding arbitration on an individual basis, and not as part of any class or representative action.
You agree to waive any right to a jury trial or participation in a class action lawsuit. Arbitration procedures shall be conducted in accordance with applicable arbitration rules, and judgment on the award may be entered in any court of competent jurisdiction.

These Terms shall be governed by and construed in accordance with applicable laws, without regard to conflict of law principles. Any disputes not subject to arbitration shall be resolved in a court of competent jurisdiction.

The Company reserves the right to modify, suspend, or discontinue any aspect of the Services at any time without prior notice. The Company may also update these Terms from time to time, and continued use of the Services constitutes acceptance of such updates.
13. No Guarantee of Outcomes
The Company does not guarantee any specific outcome, including but not limited to approval of filings, successful formation of an entity, or suitability for any particular purpose. All outcomes are subject to the review and discretion of applicable government authorities.
14. Entire Agreement
These Terms constitute the entire agreement between you and the Company regarding the Services and supersede any prior agreements or understandings.
15. Acceptance of Terms
By proceeding with your purchase or use of the Services, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree, you must not use the Services.
