Proof of Address: Physical Office Lease and Utility Bill

1. Introduction

Welcome to Soho Workspace Inc., Soho Workspaces 2 Inc., Farm 2 LLC, Farm 3 LLC, and Virtual Mail Hub LLC (collectively referred to as “The Farm,” “we,” “us,” or “our”). These Terms of Use (“Terms”) govern your purchase and use of The Farm’s Physical Office Lease Service (the “Service”).

By purchasing or using this Service, you (“Client,” “you,” or “your”) agree to comply with these Terms and all applicable laws. If you do not agree, please do not proceed with the Service.

2. Service Description

The Physical Office Lease Service provides clients with:

  • A physical office lease agreement in the company’s name.
  • Utility documentation (electric, internet, etc.) issued under the company’s name.
  • Access to a legitimate physical business address that supports company registration, business verification, and banking or payment processing compliance.

This service is primarily intended for companies that require proof of a real, operational U.S. office location for registration, compliance, and credibility purposes.

3. Eligibility

To use this Service, you must:

  • Be at least 18 years old and legally authorized to act on behalf of your company.
  • Provide accurate and verifiable business information for inclusion in the lease and utility documents.
  • Use the office address solely for lawful business activities and not for residential or deceptive purposes.

We reserve the right to reject or terminate the Service if incomplete, false, or misleading information is provided.

4. Payment and Term

  • The Physical Office Lease is subject to a 12-month minimum commitment.
  • Payment is billed annually in advance, unless otherwise agreed in writing.
  • All payments are non-refundable once documents have been issued.
  • The agreement automatically renews for successive 12-month terms unless canceled in writing at least 30 days prior to renewal.
  • Late or failed payments may result in suspension or termination of the Service.

5. Use of Address and Lease Documentation

You are granted permission to use The Farm’s designated address as your company’s official business address during the active term of your lease.

You may use the address on:

  • Government or state business filings
  • Banking or payment processing documentation
  • Business registration records
  • Company website or correspondence materials

You may not:

  • Use the address for residential purposes
  • Sublease or share the address with third parties
  • Engage in any illegal or misleading business activities at the address

Any misuse of the address or documents may result in immediate termination of service and possible legal action.

6. Compliance and Limitations

You are solely responsible for ensuring your business complies with all applicable local, state, and federal laws.

The Farm SoHo does not:

  • File or register your business with state or federal agencies.
  • Handle any Know Your Customer (KYC) or identity verification processes.
  • Guarantee approval by banks, Stripe, or other payment platforms.
  • Provide legal, tax, or compliance advice.

This service only provides legitimate supporting documentation for compliance and verification purposes.

7. Documentation Issuance

After payment confirmation and successful onboarding, you will receive:

  1. A Physical Office Lease Agreement under your company’s name; and
  2. A Utility Bill under your company’s name.

These documents are typically issued within 5–10 business days after verification of your business information.

8. Refunds and Cancellations

  • Payments are non-refundable once lease or utility documentation has been issued.
  • Clients may cancel only after completing the 12-month commitment, with 30 days’ written notice before renewal.
  • Upon cancellation or non-renewal, all address usage rights terminate immediately.
  • Continued use of The Farm’s address or documents after termination is strictly prohibited.

9. Liability and Indemnification

To the maximum extent permitted by law:

  • The Farm SoHo shall not be liable for indirect, incidental, or consequential damages, including business losses, regulatory rejections, or reputational harm.
  • You agree to indemnify and hold harmless The Farm SoHo, its affiliates, and staff from any claims or liabilities arising from your use or misuse of the Service.

10. Privacy and Data Handling

We collect and store personal and business data only as necessary to operate this Service. Your information is used solely for document creation, billing, and communication related to your lease. We do not sell or share your data, except as required by law.Please refer to our Privacy Policy for more information.

11. Termination of Service

The Farm SoHo reserves the right to suspend or terminate your Service, without refund, if:

  • Payment fails or remains unpaid after notice;
  • False or misleading information is provided;
  • The address or documentation is misused; or
  • The Service is used for unlawful or deceptive purposes.

Upon termination, you must immediately stop using The Farm’s address and remove it from all filings, accounts, and listings.
